TERMS OF PAID SERVICES

Thank you for using ArtLion.

These Terms of Paid Services & Energy Coins (“Paid Services Terms” or “Agreement”) are a legally binding agreement between you and New Lion Studio Ltd and govern your purchase, receipt, and use of Energy Coins and other paid features available through the ArtLion mobile application (“ArtLion”, the “App”, “we”, “us”, or “our”).

These Paid Services Terms supplement the ArtLion Terms of Use and should be read together with the ArtLion Privacy Policy and ArtLion AI Generation & Acceptable Use Policy.

By purchasing Energy Coins or using any paid feature of ArtLion, you agree to these Paid Services Terms.

If there is a conflict between these Paid Services Terms and the ArtLion Terms of Use regarding purchases, Energy Coins, or paid AI generation, these Paid Services Terms will apply to the extent of that conflict.

Nothing in these Paid Services Terms limits any mandatory consumer rights available to you under applicable law.

1. ELIGIBILITY

ArtLion is intended for users aged 13 or older.

If you are under the age at which you may independently enter into contracts or make digital purchases in your country or region, your parent or legal guardian must authorize your use of paid features and any purchase made through the App.

You are responsible for complying with any age requirements imposed by Apple, the App Store, your payment provider, and applicable law.

2. ENERGY COINS

ArtLion uses a virtual unit called Energy Coins (“Energy Coins”, “Energy”, or “Coins”).

Energy Coins may be used within ArtLion to access eligible paid functionality, including artificial intelligence-powered sticker and image generation.

Energy Coins:

have no monetary value outside ArtLion;
are not legal tender, electronic money, cryptocurrency, securities, or a bank deposit;
cannot be withdrawn or redeemed for cash;
cannot be transferred between users;
cannot be sold, traded, exchanged, or otherwise transferred for money or other consideration; and
may only be used for eligible services offered within ArtLion.

Purchasing Energy Coins provides you with a limited, personal, non-transferable right to use those Energy Coins for eligible ArtLion services in accordance with these Paid Services Terms.

Purchasing Energy Coins does not transfer ownership of any part of ArtLion or create any financial or ownership interest in New Lion Studio Ltd.

3. PURCHASING ENERGY COINS

Energy Coins may be offered in different packages.

The number of Energy Coins included in each package and the applicable purchase price will be displayed before you complete your purchase.

Prices may vary depending on your country or region, currency, applicable taxes, App Store storefront, and other factors determined by the applicable platform.

ArtLion may change the availability, price, size, or composition of Energy Coin packages offered for future purchases.

Any such change will not reduce the number of previously purchased and unused Energy Coins already credited to your account, except where required by law or reasonably necessary to correct fraud, abuse, or an obvious technical or accounting error.

4. APP STORE PURCHASES

Where Energy Coins are purchased through Apple's App Store, the transaction is processed through Apple's In-App Purchase system.

Your purchase is also subject to the applicable terms, payment rules, and policies of Apple and the App Store.

ArtLion does not directly receive or store your complete payment-card information when a transaction is processed by Apple.

The price displayed by the App Store at the time you confirm the transaction is the applicable purchase price for that transaction, subject to Apple's terms and applicable law.

Purchases of Energy Coins are not subscriptions and do not automatically renew.

Purchasing Energy Coins does not authorize ArtLion to automatically purchase additional Energy Coins or charge you when your Energy balance becomes low or reaches zero.

5. COST OF AI GENERATION

Different AI generation operations may require different amounts of Energy Coins.

The amount of Energy required may depend on factors including:

the selected generation style;
the number of stickers requested;
the type or complexity of the generation;
the AI functionality selected; and
other generation parameters made available by ArtLion.

The applicable Energy cost will be displayed to you before you confirm the generation request.

By confirming a generation request, you authorize ArtLion to deduct the displayed amount of Energy Coins if the generation is successfully completed.

ArtLion may change Energy prices for future generations at any time.

A change in the Energy cost of future generations will not retroactively affect Energy Coins already spent on completed generations.

6. WHEN ENERGY COINS ARE CHARGED

Energy Coins are charged only when the requested generation has been successfully completed and the resulting content has been made available to your ArtLion account.

If a generation cannot be successfully completed because of a qualifying technical failure, the applicable Energy Coins will not be charged or, if they were temporarily deducted as part of a technical process, they will be restored.

Technical failures may include eligible failures involving ArtLion's infrastructure, network processing, or the AI service used to perform the generation.

ArtLion may use temporary authorization, reservation, or balance-verification mechanisms where technically necessary, provided that Energy Coins are not finally consumed for an eligible failed generation.

7. FAILED GENERATIONS

If an AI generation fails because of a technical error and no usable generation result is delivered, ArtLion will not charge the applicable Energy Coins.

If Energy Coins were deducted despite such a qualifying technical failure, ArtLion may automatically restore them to your account.

ArtLion may also manually restore Energy Coins where our support team determines that a technical problem caused an incorrect charge.

Restoring Energy Coins is different from issuing a monetary refund for an App Store purchase.

8. CONTENT MODERATION AND REJECTED GENERATIONS

AI generation requests may be automatically or manually reviewed or screened for safety, legal, intellectual property, platform-policy, or other compliance purposes.

A generation request may be rejected, restricted, or blocked if the submitted image, prompt, requested output, or other content appears to violate applicable law, ArtLion policies, applicable third-party AI provider policies, or our safety requirements.

This may include, without limitation, prohibited or restricted content involving:

nudity or sexual content;
sexual exploitation or abuse;
content involving the exploitation or sexualization of minors;
graphic or prohibited violence;
unlawful or harmful activities;
infringement of copyright, trademarks, or other intellectual property rights;
infringement of privacy, publicity, personality, or similar rights;
fraud, deception, or impersonation where prohibited;
attempts to circumvent safety or moderation systems; or
other content prohibited under applicable ArtLion or AI provider policies.

Where a generation request is blocked before a chargeable generation is successfully completed, Energy Coins will not be consumed for that generation.

ArtLion does not guarantee that every submitted image, prompt, or generation request will be accepted.

9. AI OUTPUT AND SUBJECTIVE RESULTS

Artificial intelligence is probabilistic technology.

AI-generated results may differ from what you expected and may contain inaccuracies, visual artifacts, inconsistencies, unexpected details, stylistic variations, or other imperfections.

Examples shown within ArtLion are illustrative and do not guarantee that a particular generation will produce an identical or substantially similar result.

If a generation is successfully completed and the resulting content is delivered to your ArtLion account, the Energy Coins required for that generation are considered consumed.

A user's subjective dissatisfaction with the artistic style, resemblance, composition, interpretation, quality, or aesthetic characteristics of a successfully completed AI generation does not, by itself, entitle the user to restoration of Energy Coins or a monetary refund.

This does not affect any rights or remedies that cannot legally be excluded under applicable consumer law.

10. AI SERVICE PROVIDERS

ArtLion currently uses OpenAI technology to provide certain artificial intelligence-powered image and sticker generation features.

When you request an AI generation, the source image and instructions necessary to process that request, including the applicable generation prompt, may be transmitted to OpenAI for processing.

ArtLion may in the future use, add, replace, or integrate other artificial intelligence service providers where reasonably necessary to operate, improve, expand, or maintain ArtLion's services.

Where required by applicable law, material changes concerning the processing of personal data by service providers will be reflected in the ArtLion Privacy Policy or otherwise communicated to users.

Use of AI-powered functionality may also be subject to applicable safety, usage, or technical restrictions imposed by the relevant AI service provider.

ArtLion remains responsible for its contractual relationship with you under these Paid Services Terms. Your use of an ArtLion AI feature does not, by itself, mean that you are purchasing an AI generation directly from OpenAI or entering into a separate paid-service agreement with OpenAI.

11. USER INPUT

You retain any rights that you lawfully hold in photographs, images, prompts, or other materials you submit to ArtLion (“Input”).

You represent and warrant that you have all rights, permissions, consents, and lawful authority reasonably necessary to submit the Input and use it for the requested generation.

You must not upload or use content in a manner that unlawfully infringes another person's copyright, trademark, privacy, publicity, personality, contractual, or other rights.

Where Input depicts another person, you are responsible for obtaining any consent required by applicable law for your intended use.

You grant ArtLion a limited right to process, transmit, transform, and otherwise use the Input only as reasonably necessary to provide, secure, moderate, and operate the requested service and to comply with applicable law.

12. AI-GENERATED OUTPUT

Subject to applicable law and these Paid Services Terms, as between you and ArtLion, you own the Output generated specifically for you to the extent such Output is capable of ownership.

To the extent ArtLion obtains any right, title, or interest in such Output solely as a result of providing the AI generation service, ArtLion assigns that right, title, and interest to you to the extent permitted by applicable law.

AI-generated content may not be unique.

Other users may receive identical or similar output, and the existence of similar content does not create liability by itself.

The legal status of AI-generated content may differ between jurisdictions. ArtLion does not guarantee that any particular Output qualifies for copyright, trademark, design, or other intellectual property protection.

ArtLion also does not guarantee that an Output is free of third-party intellectual property, privacy, publicity, personality, or other rights.

You are responsible for determining whether your intended use of Output is lawful.

Subject to applicable law, these Paid Services Terms, applicable ArtLion policies, and applicable restrictions governing the AI service, Output may be used for personal or commercial purposes.

Commercial use is at your own responsibility, particularly where Output incorporates, depicts, or resembles protected brands, characters, artwork, persons, products, logos, or other third-party material.

13. SOURCE IMAGES

ArtLion does not retain a user's source image as part of the user's permanent ArtLion content library after it has been submitted for the requested AI processing.

To perform the requested AI generation, the source image and necessary generation instructions are transmitted for processing to the applicable AI service provider.

The processing of source images and related information is further described in the ArtLion Privacy Policy.

14. STORAGE OF GENERATED CONTENT

Generated stickers and other eligible AI-generated content may be stored in your ArtLion account so that you can access and use them.

Generated content will generally remain associated with your account until:

you delete the applicable content;
you delete your ArtLion account;
ArtLion is legally required to remove the content; or
removal is otherwise permitted under the ArtLion Terms of Use or applicable policies.

When you delete your account, content associated with that account, including your generated stickers, will be deleted in accordance with the ArtLion Privacy Policy, applicable technical processes, legal requirements, and any legally required retention periods.

15. PRIVATE AND PUBLIC CONTENT

AI-generated stickers created through the applicable ArtLion generation functionality are private by default, unless ArtLion clearly indicates otherwise.

Private generated content is not automatically published to ArtLion's public sticker catalogue.

If ArtLion introduces or provides functionality allowing users to submit generated stickers for public distribution, publication will be subject to additional review, moderation, content standards, intellectual property requirements, and any other applicable ArtLion policies.

Submission for publication does not guarantee acceptance or publication.

ArtLion may reject or remove content from the public catalogue where reasonably necessary to comply with law, protect third-party rights, enforce ArtLion policies, or maintain the safety and integrity of the service.

16. PURCHASED ENERGY COINS DO NOT EXPIRE

Energy Coins purchased through an In-App Purchase do not expire merely because time has passed.

Purchased Energy Coins remain available for eligible use while your ArtLion account remains active, subject to these Paid Services Terms, applicable law, and the account-deletion provisions below.

ArtLion may distinguish purchased Energy Coins from promotional or bonus Energy Coins.

17. PROMOTIONAL AND BONUS ENERGY COINS

ArtLion may provide free, promotional, bonus, reward, trial, compensation, or other non-purchased Energy Coins.

Promotional Energy Coins may be subject to additional conditions, including an expiration date.

Depending on the applicable promotion, promotional Energy Coins may, for example, remain valid for periods ranging from approximately seven days to three months.

The specific validity period and any material conditions applicable to a promotion will be communicated in connection with that promotion.

Promotional Energy Coins have no cash value and cannot be exchanged for purchased Energy Coins or money.

Where technically practicable, ArtLion may prioritize the use of Energy Coins based on expiration or other applicable account rules.

18. REFUNDS AND ENERGY RESTORATION

There is an important distinction between:

(a) restoration of Energy Coins within ArtLion; and

(b) a monetary refund for an App Store transaction.

ArtLion may restore Energy Coins where appropriate, including following a qualifying technical failure, incorrect Energy deduction, or other circumstances determined by ArtLion.

Where your purchase was processed through Apple's App Store, requests for monetary refunds may be subject to Apple's applicable refund procedures, policies, and decisions.

Except where otherwise required by applicable law or applicable App Store rules, purchases are final once completed.

Nothing in this section excludes or limits any mandatory refund, repair, repeat-performance, price-reduction, or other consumer remedy to which you may be entitled under applicable law.

19. ACCOUNT DELETION AND UNUSED ENERGY

If you choose to permanently delete your ArtLion account, any remaining Energy Coins associated with that account, including purchased and promotional Energy Coins, will be permanently forfeited and cannot ordinarily be recovered after account deletion, subject to applicable law.

Before permanent account deletion, ArtLion may display a warning informing you that unused Energy Coins and generated content will be lost.

You should use any remaining purchased Energy Coins before requesting permanent account deletion if you wish to receive the associated ArtLion services.

Account deletion does not automatically entitle you to a cash refund for unused Energy Coins.

This section applies subject to any mandatory rights or remedies available under applicable law.

20. NO TRANSFER, RESALE, OR CASH VALUE

You may not:

sell Energy Coins;
purchase Energy Coins from unauthorized third parties;
transfer Energy Coins between accounts;
exchange Energy Coins for cash or cryptocurrency;
use Energy Coins as payment outside ArtLion;
create or participate in an unauthorized marketplace for Energy Coins; or
manipulate ArtLion systems to obtain Energy Coins without valid authorization.

ArtLion may investigate suspected fraud, unauthorized transactions, exploitation, or manipulation of Energy Coin balances.

21. ERRORS AND BALANCE CORRECTIONS

Occasionally, technical or accounting errors may cause an incorrect Energy balance to appear.

ArtLion may correct a balance where reasonably necessary to reflect actual valid purchases, valid usage, restorations, promotional grants, refunds, chargebacks, or technical corrections.

We will not knowingly remove legitimately purchased and unused Energy Coins merely because of an internal pricing change.

22. FRAUD, CHARGEBACKS, AND ABUSE

ArtLion may restrict access to paid functionality, correct an Energy balance, suspend an account, or take other reasonable measures where there is evidence of fraud, unauthorized payment activity, chargeback abuse, exploitation of technical errors, manipulation of Energy balances, or other material violations of these Paid Services Terms.

Any action taken under this section will be subject to applicable law and mandatory consumer protections.

23. CHANGES TO ENERGY PRICING AND PAID SERVICES

ArtLion may change:

the price of future Energy Coin packages;
the number of Energy Coins included in future packages;
the Energy cost of future AI generations;
available generation models or styles;
available paid functionality; and
promotional programs.

Changes apply prospectively unless a retrospective change is required to correct an error, prevent fraud or abuse, comply with law, or protect the security or integrity of the service.

Before confirming a paid generation, you will be shown the Energy amount applicable to that generation.

24. AVAILABILITY OF AI SERVICES

AI generation depends on complex technical systems and third-party infrastructure.

ArtLion does not guarantee uninterrupted or error-free availability of every AI model, generation style, feature, or processing service.

Features may occasionally be unavailable because of maintenance, technical failures, capacity limitations, safety restrictions, provider outages, legal requirements, or changes to third-party technology.

Where a generation is not successfully completed because of a qualifying technical failure, the Energy rules described in these Paid Services Terms will apply.

25. SERVICE CHANGES

ArtLion may modify, replace, improve, discontinue, or introduce paid functionality from time to time.

Where a change materially affects purchased Energy Coins or a user's mandatory consumer rights, ArtLion will handle the change in accordance with applicable law.

Discontinuing a particular generation model, style, or feature does not necessarily entitle a user to a refund where remaining Energy Coins continue to be usable for other eligible ArtLion services, except where applicable law requires otherwise.

26. TAXES AND CURRENCY

Prices displayed through the App Store may include or exclude taxes depending on your location and applicable App Store rules.

Currency conversion, local pricing, taxes, and similar payment matters may be administered by the applicable App Store.

ArtLion is not responsible for exchange-rate differences independently applied by your financial institution or platform provider.

27. LIMITATION OF LIABILITY

Nothing in these Paid Services Terms excludes or limits liability where such liability cannot lawfully be excluded or limited.

To the maximum extent permitted by applicable law, New Lion Studio Ltd will not be liable for indirect, incidental, special, consequential, or purely economic losses arising from the use of paid ArtLion functionality where such liability may lawfully be excluded.

ArtLion does not guarantee that AI-generated Output will be unique, accurate, error-free, suitable for a particular purpose, capable of intellectual property protection, or free from all third-party rights.

These limitations do not affect mandatory consumer rights.

28. CONSUMER RIGHTS

If you use ArtLion as a consumer, you may have statutory rights under the laws applicable in your country or region.

These rights may include rights concerning digital content, digital services, defective services, refunds, repeat performance, price reductions, unfair contract terms, or other consumer protections.

Nothing in these Paid Services Terms is intended to waive or restrict rights that cannot legally be waived or restricted.

If a provision of these Paid Services Terms conflicts with mandatory consumer law applicable to you, the mandatory consumer law will prevail to the extent of the conflict.

29. GOVERNING LAW

These Paid Services Terms and the relationship between you and New Lion Studio Ltd are governed by the laws of England and Wales, without prejudice to any mandatory consumer protections available to you under the laws of the country in which you habitually reside.

Nothing in these Paid Services Terms deprives a consumer of protections or access to courts that cannot lawfully be excluded by contract.

30. CHANGES TO THESE PAID SERVICES TERMS

ArtLion may update these Paid Services Terms from time to time, including to reflect:

changes to paid functionality;
new Energy Coin features;
changes to AI technology or AI service providers;
legal or regulatory requirements;
App Store requirements;
safety or security developments; or
changes to our business model.

Where required by applicable law, we will provide reasonable notice of material changes.

The current version will be made available through ArtLion or an official ArtLion website.

Where appropriate, an updated version will display a new Release Date and Effective Date.

Material changes will not retroactively deprive you of rights relating to completed purchases where doing so would violate applicable law.

31. NO AUTOMATIC RENEWAL OR SUBSCRIPTION

ArtLion does not currently offer an automatically renewing subscription under these Paid Services Terms.

Energy Coin purchases described in these Paid Services Terms are consumable purchases and do not automatically renew.

Purchasing Energy Coins does not authorize ArtLion or New Lion Studio Ltd to automatically charge you for additional Energy Coins when your balance becomes low or reaches zero.

If ArtLion introduces subscriptions or other automatically renewing services in the future, the applicable subscription terms, price, billing period, automatic renewal conditions, cancellation procedures, and other legally required information will be presented to users before they subscribe.

32. RELATIONSHIP WITH OTHER ARTLION TERMS

These Paid Services Terms form part of the legal terms governing your use of ArtLion.

Your use of ArtLion may additionally be subject to the:

ArtLion Terms of Use

ArtLion Privacy Policy

ArtLion AI Generation & Acceptable Use Policy

and any specific promotional terms presented to you.

Where applicable, your App Store purchase is also subject to the relevant terms and policies of Apple.

If there is a conflict between these Paid Services Terms and another ArtLion agreement specifically concerning purchases, Energy Coins, or paid AI generation, these Paid Services Terms will prevail to the extent of that conflict, unless expressly stated otherwise or prohibited by applicable law.

33. SEVERABILITY

If any provision of these Paid Services Terms is determined by a court or other competent authority to be invalid, unlawful, or unenforceable, that provision will apply to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.
